Freight & Delivery Policy

Orders

Minimum Order Quantities

Prices

Payment

In the event that legal action is required to enforce a debt, the Buyer agrees to cover any attorney’s fees incurred.

Cancellation

Promotional Items

Promotional items are limited to one per purchase. Availability of promotional items is subject to change, and they may be canceled at any time for any reason.

Free Shipping Promotion

Our Free Shipping promotion may end at any time. We reserve the right to exclude Alaska and Hawaii from this promotion as well as any country outside of the United States of America. The shipping method for the Free Shipping promotion may change without notice, depending on warehouse availability.

CONDITIONS OF SALE

Contract

The provisions set forth herein, along with all drawings, specifications, descriptions, and other documents, constitute the entire contract between www.vmzcorporation.com and the Buyer. This contract supersedes all prior quotations, purchase orders, correspondence, and other communications, whether written or oral, between www.vmzcorporation.com and the Buyer.

No provisions of www.vmzcorporation.com’s conditions of Sale shall be subject to change except by written authorization from a properly authorized representative of www.vmzcorporation.com in Houston, Texas. The failure of www.vmzcorporation.com to object to any conflicting provisions, whether contained in the Buyer’s purchase order or otherwise, shall not be construed as a waiver of the provisions herein, nor as acceptance thereof.

This contract shall be governed by and construed in accordance with the laws of the state of Texas. Should any term or provision contained in these conditions contravene or be invalid under applicable law, the contract of which these conditions form a part shall not fail by reason thereof but shall be construed as if such term or provision had not appeared.

Terms

Standard terms are cash upon delivery. Invoices not paid within 45 days from the date of the invoice will automatically be charged to the credit card on file. Amounts past due are subject to a service charge of 18% per annum or the current prime rate per annum, whichever is greater.

If www.vmzcorporation.com, at any time, deems that the financial condition of the Buyer or other circumstances do not justify the continuance of production or shipment on the specified terms, www.vmzcorporation.com may require full or partial payment in advance. Certain orders, due to their nature or delivery requirements, may necessitate progress payments as determined by www.vmzcorporation.com. Prorated payments shall become due as shipments are made.

www.vmzcorporation.com’s failure to exercise any right arising from any default by the Buyer shall not impair any rights in the event of subsequent default by the Buyer. If legal action is brought to enforce this debt, the Buyer agrees to pay any attorney’s fees incurred.

Delivery

Shipping dates provided by www.vmzcorporation.com are approximate and contingent upon the prompt receipt of all necessary information regarding the order. www.vmzcorporation.com will make every effort to meet the scheduled dates but does not guarantee them. Failure to make shipments as scheduled does not constitute grounds for cancellation or for damages of any kind.

In the event of a delay requested by the Buyer or caused by a lack of shipping instructions, www.vmzcorporation.com will store all items ordered at the Buyer’s risk and expense. The Buyer will be invoiced for the full contract price of the merchandise on or after the date it is ready for delivery.

www.vmzcorporation.com is not responsible for any loss, damage, or delay that may occur after the merchandise has been accepted for shipment by the carrier (e.g., UPS, FedEx, or any other common carrier). Any such claims should be directed to the carrier.

Cancellation

All undelivered parts of any order may be canceled by the Buyer at any time, but only with the written approval of an authorized representative of www.vmzcorporation.com in Houston, Texas. If the Buyer fails to make payments to www.vmzcorporation.com in accordance with the terms herein, www.vmzcorporation.com may, at its option, cancel all undelivered parts of any order by providing written notice to the Buyer.

In the event of any cancellation of this order by either party, the Buyer shall pay to www.vmzcorporation.com the reasonable costs and expenses incurred by www.vmzcorporation.com prior to receipt of the notice of cancellation. These costs and expenses include, but are not limited to, engineering expenses, restocking fees, shipping costs, and all commitments to suppliers and subcontractors, plus www.vmzcorporation.com’s usual rate of profit for similar work.

Returns

No merchandise shall be returned without written authorization from www.vmzcorporation.com. The buyer may be subject to a restocking charge and return transportation costs in accordance with www.vmzcorporation.com’s return policy. Any return for credit will only permit the withholding of payment for the returned product(s) and does not allow for the withholding of payment for any other merchandise or products purchased.

Security Interest

The Customer (Buyer) hereby grants www.vmzcorporation.com (VMZcorporation.com) and all of its registered DBAs a first priority purchase money security interest and/or chattel mortgage in the products purchased, as well as any accounts receivable or cash from the resale thereof, until full payment is made to www.vmzcorporation.com or its DBA named on the related invoice. The Customer agrees to permit and authorizes www.vmzcorporation.com to file any financing statements or other appropriate documents with governmental authorities to perfect the validity, priority, and enforceability of www.vmzcorporation.com’s security interest.

Warranty & Limitation of Liability

All merchandise is sold under the mutual agreement that it is warranted by www.vmzcorporation.com to be free from defects in material and workmanship. However, www.vmzcorporation.com shall not be liable for special, indirect, or consequential damages of any kind, whether under contract or otherwise. www.vmzcorporation.com’s liability is limited exclusively to replacing or repairing, at its discretion and without charge, any material or workmanship defects that become apparent within 30 days from the date of shipment. www.vmzcorporation.com shall have no liability for damages of any kind arising from the installation and/or use of the merchandise by any party.

By accepting the merchandise, the Buyer assumes all liability for any damages resulting from its use or misuse by the Buyer, its employees, or others. The warranties provided by www.vmzcorporation.com do not cover, and www.vmzcorporation.com makes no warranty with respect to, any defect, failure, deficiency, or error that is:
a. Not reported to www.vmzcorporation.com within the applicable warranty period; or b. Due to misapplication, modification, disassembly, abuse, improper installation by others, or abnormal conditions of temperature, dirt, or corrosive matter; or c. Due to operation, whether intentional or otherwise, beyond rated capacities or in an otherwise improper manner.
